Paralegals are a critical part of DLA Piper’s client service teams, working side by side with lawyers, co-counsel, and clients on an array of substantive client matters. The majority of our paralegals are career professionals. They work independently and on teams, locally, nationally, and globally.
The paralegal team itself includes Case Assistants, Paralegals, Senior Paralegals, and Paralegal Specialists. Bachelor’s Degree and/or Paralegal Certificate
8 years’ experience as a Corporate paralegal
Experience with entity formation and qualification
Experience with transactional closings
Strong organization skills and attention to detail
Strong skills in Microsoft Word, Excel, and Outlook
Emerging Growth and Venture Capital experience
Blue Sky research skills
Large firm experience
Private and public company experience
Experience with electronic ownership and equity management platforms such as Carta and Shareworks
Experience with DocuSign or similar technology
What will your day look like? You will be responsible for preparing and filing Certificates of Incorporation / Organization, state qualifications, and organizational and related documents. In addition, you will file Amendments, prepare merger documents, conduct UCC searches and filings, and prepare and file annual reports in states where corporations are incorporated and/or qualified to do business. You will also be responsible for blue sky research and filings for private placements, manage stock ledgers and maintain capitalization tables.
You will be responsible for updating company files, preparing legal contracts and closing documents, reviewing transactional documents, and assisting with company compliance issues. You will need strong verbal and written communication skills, strong attention to detail, project management skills, and be able to work well under pressure.
Ideal candidates will be detail-oriented and accurate in their paperwork, have the ability to multi-task have strong computer skills, and an understanding of general office procedures
